The Company is governed by a board of directors with five members, four of whom are independent of the Company or its Manager, Brookfield Real Estate Services Manager Limited. The names and biographies of each of the directors are listed below.
The Board oversees the Company’s business affairs. The independent Directors also monitor the Manager’s performance on behalf of the Company to ensure it’s in compliance with the terms of the Management Services Agreement.
Lorraine Bell CPA, CA
Director and Chair of the Audit Committee 1,2
Ms. Bell is a Corporate Director and Chair of the Audit Committee. Ms. Bell is a Canadian Chartered Professional Accountant with more than 30 years of experience in the financial sector. Ms. Bell is a member of the Board of Directors and the Audit, Risk Management and Human Resources Committee of the Ontario Financing Authority and a Director and Chair of the Audit Committee of IBI Group Inc. Prior to being a Corporate Director, Ms. Bell was the founder and responsible for General Re Financial Products Canada, a derivatives services company, which she ran from 1993 until 1996. She worked in the financial derivatives market for over 20 years. Ms. Bell has been a director since 2003.
Mr. Dean is a Corporate Director and a self-employed consultant. Mr. Dean sits on the Board of the Royal LePage Shelter Foundation. Mr. Dean was Chief Executive Officer of the Manager (and its predecessor) until 2005 and Managing Partner of Brookfield Business Services. Mr. Dean was a senior executive for a number of subsidiaries of Rogers Communications Inc. prior to joining the Manager in 1995. Mr. Dean has been a director since 2003.
Gail Kilgour, ICD.D

Ms. Kilgour, ICD.D, is a Corporate Director and Chair of the Governance Committee. Ms. Kilgour brings more than 25 years of experience he financial services industryin t to the Board. Ms. Kilgour is Chair of the Board of St. George’s Golf and Country Club and Chair of its Human Resources and Nominating Committees. Ms. Kilgour is a past Vice-Chair of the Board of Directors for the Ontario Realty Corporation and Chair of its Governance Committee, Director of Ontario Infrastructure and Lands Corporation and Trustee of the University of Guelph, where she chaired its Audit Committee. A self-employed consultant since 2004 and Corporate Director, Ms. Kilgour was prior to 2004, employed by the Canadian Imperial Bank of Commerce (“CIBC”), in a number of senior management roles including, Senior Vice-President, Government Sponsored Student Loans, President & Chief Executive Officer of EDULINX Canada Corporation, a subsidiary of CIBC and Senior Vice-President, e-Business Strategy, CIBC.com. Ms. Kilgour has been a Director since 2003.
Hon. J. Trevor Eyton, O.C., Q.C.
The Honourable J. Trevor Eyton O.C. , Q.C., is a Corporate Director. Senator Eyton is a well-known businessman in Canada and internationally, including serving for some years as the President and Chief Executive Officer, and later as Chairman. of Brascan (now Brookfield Asset Management Inc.), one of Canada’s largest global corporations. Appointed to the Senate in 1990, Senator Eyton served on three committees: Banking, Trade and Commerce, Transport and Communications, and Scrutiny of Regulations where he was Joint Chair. He also served as a Director of Coca-Cola Enterprises (Atlanta) from 1998 to 2007. Mr. Eyton retired from the Canadian Senate in 2009. Currently, the Senator serves as Honorary Chairman of Canada’s Sports Hall of Fame, as well as a Director of Cancana Resources Inc., Ivernia Inc., Silver Bear Resources Inc. and Magna International Inc. Senator Eyton has been a Director since 2014.
Spencer Enright, CPA, CA
Director and Chairman of the Board of Directors
Mr. Enright brings a depth of executive and operational experience to the role of Chairman of the Board. He has been with Brookfield since 2010 and currently serves as the President and Chief Executive Officer of Brookfield Real Estate Services Manager Limited. Prior to joining Brookfield, he held a number of senior leadership positions with Coca-Cola Ltd., including General Manager of Minute Maid Canada and Chief Financial Officer. Mr. Enright has been a director since 2014.
